Terms of Use

Effective 3 August 2026

These terms are the agreement between you and Balm Technologies Inc. ("Balm Technologies", "we", "us") for Susanna — the mobile app and the services behind it. By creating an account or using Susanna you accept them. If you do not accept them, please do not use Susanna.

1. Who may use Susanna

You must be at least 13 years old, or older where your country sets a higher age for consenting to online services. If you are under the age of majority where you live, a parent or guardian must agree to these terms on your behalf where the law allows it. By using Susanna you confirm you meet these requirements and that you are not barred from using the services under any applicable law.

2. What Susanna is

Susanna provides AI-assisted note-taking, recording, transcription, summarisation, organisation, task extraction, voice conversation, camera-based description, and pronunciation coaching. Which features are available depends on your device, your plan and your region, and we may add, change or withdraw features over time.

3. Your account

You need an account for your plan and content to follow you between devices. You are responsible for keeping your sign-in credentials secure and for everything that happens under your account. Tell us promptly at meetsusanna.app@gmail.com if you believe your account has been used without your permission. You may delete your account at any time from within the app.

4. Recording other people

This section matters more than any other, so please read it.

You — not Balm Technologies — are the person initiating and controlling each recording. Susanna records only when you tell her to. Recording and transcription laws differ by country, by state and by context, and some jurisdictions require the consent of every participant in a conversation, not only yours.

You are solely responsible for:

• knowing what the law requires where you are and where the other participants are;
• obtaining any consent that is required before you start recording;
• honouring any request to stop recording or to delete a recording;
• not recording where recording is prohibited.

Do not use Susanna to record anyone covertly or unlawfully. We may suspend an account we reasonably believe is being used to do so.

5. Your content, and the permission you give us

What you record, write, capture and upload stays yours. We claim no ownership of it.

To run the service, you grant Balm Technologies a limited, worldwide, non-exclusive, royalty-free licence to host, copy, store, transmit, process, modify, adapt and display your content — solely in order to provide, secure, maintain and improve the services for you, including through the third-party processors listed in our Privacy Policy. This licence ends when you delete the content or your account, except for copies retained in backups as described in the Privacy Policy.

You are responsible for having the rights necessary to submit the content you submit, including the rights of anyone whose voice, likeness or personal information it contains.

6. AI output

Susanna's replies, transcripts and summaries are generated probabilistically by AI models. They may be inaccurate, incomplete, outdated, biased, offensive or otherwise unsuitable, and they may misattribute or mis-transcribe what was said.

Nothing Susanna produces is professional advice. She does not provide medical, legal, financial, psychological or emergency assistance, and you must not rely on her for decisions that call for a qualified professional. In an emergency, contact your local emergency services. You are responsible for reviewing and verifying anything you act on or pass to someone else.

7. Acceptable use

You agree not to:

• record anyone unlawfully, or without a consent the law requires you to have;
• impersonate any person or organisation, or misrepresent your affiliation with one;
• harass, threaten, defame or harm anyone, or infringe anyone's rights;
• present AI output as verified fact, or as the statement of a person who did not make it;
• probe, scan or breach the security of the services, or attempt to access accounts or data that are not yours;
• reverse-engineer, decompile or extract the models or software behind Susanna, except where the law expressly permits it;
• use automated means to access the services at a volume or rate beyond normal personal use, or resell, sublicense or share account access;
• use Susanna to build a competing product or to train a machine-learning model;
• use the services for anything unlawful, or in breach of these terms.

8. Plans, billing and cancellation

Susanna offers a Free plan and paid Basic and Premium plans. Paid plans are sold through Apple as auto-renewing subscriptions.

• Payment is charged to your Apple Account when you confirm the purchase.
• A subscription renews automatically for the same price and period unless you cancel at least 24 hours before the end of the current period.
• You can manage or cancel a subscription at any time in your Apple Account settings. Deleting the app does not cancel a subscription.
• Prices may change. Apple will notify you before a change affects a renewal, and you may cancel rather than accept it.
• Refunds are handled by Apple under Apple's terms. We cannot issue refunds for purchases made through the App Store.
• Where we issue offer codes, they are redeemed through Apple and are subject to whatever limits, eligibility and expiry the code carries.

9. Plan limits and fair use

Each plan includes stated amounts of meeting capture, live voice, read-aloud and scanning, described on the plan screen in the app. When you reach a limit, that feature pauses until the limit resets — daily limits reset each day and monthly limits reset each calendar month, both in UTC. Limits are enforced by our servers, and the figures shown in the app are descriptions of that enforcement rather than a separate promise.

We may apply reasonable protections against abuse, including rate limits, and may suspend accounts whose usage indicates automated or shared use.

10. Our intellectual property

Susanna, including the app, the services, the Susanna name and marks, and everything we create for them, belongs to Balm Technologies Inc. and its licensors. These terms grant you a personal, non-transferable, non-exclusive, revocable licence to use the app on devices you own or control, for your own use, in accordance with these terms and Apple's Licensed Application End User Licence Agreement. No other rights are granted.

If you send us feedback or suggestions, we may use them without obligation or compensation to you.

11. Third-party services

Susanna relies on third parties to function — including OpenAI, ElevenLabs, Google Cloud and Apple — and may connect to services you authorise, such as your calendar. Their handling of your information is described in our Privacy Policy. Your use of a connected third-party service is also governed by that service's own terms, and we are not responsible for it.

12. Availability, and no warranty

We work to keep Susanna running and useful, but we do not promise she will be uninterrupted, timely, secure, error-free, or that any output will be accurate. We may modify, suspend or discontinue any part of the services.

To the fullest extent permitted by law, the services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, accuracy or non-infringement. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Balm Technologies Inc., its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or relating to your use of or inability to use the services — even if we have been advised that such damages are possible.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these terms or the services is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100).

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot lawfully be limited.

14. Indemnity

You agree to indemnify and hold harmless Balm Technologies Inc. and its officers, employees and suppliers from any claim, demand, loss or expense (including reasonable legal fees) arising out of your content, your use of the services, your breach of these terms, or your violation of any law or of anyone's rights — including any claim brought by a person you recorded.

15. Suspension and termination

You may stop using Susanna and delete your account at any time. We may suspend or terminate an account that breaches these terms, that creates risk or legal exposure for us or for others, or where required by law. Where it is reasonable and lawful to do so, we will tell you why. Sections that by their nature should survive termination — including sections 5, 6, 10, 12, 13, 14 and 16 — survive it.

16. Disputes

If you have a problem, contact us first. You and Balm Technologies agree to attempt to resolve any dispute informally for at least 30 days after written notice of it, before either of us starts formal proceedings. Send that notice to meetsusanna.app@gmail.com, describing the dispute and the resolution you are seeking.

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the courts located in Delaware will have jurisdiction — except where the law of your country of residence gives you the right to bring proceedings in your local courts and to the protection of your local mandatory consumer law, which these terms do not take away.

17. Apple

These terms are between you and Balm Technologies Inc., not Apple, and Apple is not responsible for Susanna or its content. Apple has no obligation to provide support or maintenance for the app. If the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

18. Changes to these terms

We may update these terms. When a change is material we will post the updated version with a new effective date and tell you in the app before it takes effect. Continuing to use Susanna after a change takes effect means you accept the updated terms.

19. General

If any provision of these terms is held unenforceable, the rest remains in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition or sale of assets. These terms, together with the Privacy Policy, are the entire agreement between you and us about Susanna.
